The trend in merger activity is impossible to miss. Given the continued pressures of healthcare reform and economic realities, you simply cannot afford to sit on the sidelines as your competitors consolidate and align with each other.
Seeking an affiliation is perhaps the most important (and potentially irreversible) strategic decision that you will make. It is a decision that must be driven by guiding principles for your organization’s future and founded on a realistic assessment of existing circumstances and evaluation of the prospects for a successful transition to fee-for-value reimbursement and population health management.
This course will look at mergers and affiliations from complex, multiple-entity joint venture transactions to straightforward single entity acquisitions and divestitures. It will include senior and subordinated debt financing, as well as private equity capital investments.

Course Learning Objectives
At the conclusion of this module the learner will:
- Understand the external pressures facing healthcare institutions and their relationship to affiliation models
- Understand the drivers behind the accelerating need to build post-reform institutional readiness
- As widespread changes continue to occur, you will review and understand how hospital and healthcare systems across the US are evaluating their strategic options
- Review a strategic assessment framework, a set of evaluation criteria, some affiliation options, common roadblocks, and the roles of different types of team members and advisors play in an affiliation.

Presenter: Virginia Tyler, FACHE
Ms. Tyler is a vice president with The Camden Group and has more than 20 years of professional experience in the healthcare industry. She specializes in strategic planning and program development, mergers, service line planning, ACO, and clinical integration strategy, as well as capital project validations and ambulatory services strategy. She also has significant experience as a facilitator working on organizational development issues with senior management teams.
Prior to joining The Camden Group, Ms. Tyler served as president of Tyler Consulting, Inc., a national healthcare consulting firm, providing advisory services to hospitals and healthcare-related organizations. There, her areas of focus included board development, acute care strategic planning, provider network development, organizational consolidations, ACOs, American Nurses Credentialing Center Magnet designation, and foundations.
Ms. Tyler also previously served as associate director for Navigant Consulting, where she focused specifically on consolidation and mergers of academic medical centers, and Catholic hospital systems, as well as strategic advisory to health-related not-for-profits.
Ms. Tyler has also served as vice president, strategic planning and business development at Thompson Health in Canandaigua, New York. There, she oversaw all strategic planning, corporate communications, and managed care functions for this community health system consisting of seven corporations. She simultaneously functioned as chief administrator to two related entities.
